Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Veehive.ai platform, including SnapaPro, mpliphi, Studio, HiveLink, and the veehive.ai website, provided by Veehive Tech FZ LLC ("Veehive.ai", "we", "us"). By creating an account, signing an order form, or using the platform, you agree to be bound by these Terms.

• SnapaPro — the planning layer for intake, task extraction, and AI team coordination
• Studio — the creation layer for AI-generated videos, avatars, and multilingual content
• HiveLink — the distribution layer for calendars, events, forms, and channel-wise delivery
• mpliphi — the orchestration layer for AI agents across WhatsApp, email, and connected channels
• Optional integrations, custom development, and professional services as set out in order forms or statements of work

• You must be at least 18 years old and authorised to enter into these Terms on behalf of yourself or your organisation
• You are responsible for maintaining the security of your credentials and for all activity that occurs under your account
• You must provide accurate and current account information and promptly update any changes
• You must not share accounts, except through named seats under an enterprise plan

• You will not use the platform to send unlawful, deceptive, harassing, or harmful content
• You will not attempt to reverse engineer, scrape, overload, or interfere with the platform or its infrastructure
• You will not use the platform to build a competing product or train a competing model
• You will comply with applicable laws, including data protection, anti-spam, and messaging regulations (e.g., WhatsApp Business Policy, CAN-SPAM, GDPR, UAE TDRA rules)
• You will obtain all necessary permissions and consents for data you provide or content you distribute through the platform

• The platform uses proprietary and third-party AI models to produce plans, content, videos, and responses
• AI outputs may be inaccurate, incomplete, or biased; you are responsible for reviewing them before publication or action
• You retain ownership of your inputs and, subject to these Terms, of the generated outputs produced for your account
• You are responsible for ensuring that generated content complies with applicable laws, third-party rights, and advertising standards
• You must not use the platform to create deepfakes, misrepresent real individuals without consent, or generate content that violates intellectual property rights
• We do not guarantee that AI outputs are unique — similar outputs may be generated for other users

• Veehive.ai retains all rights, title, and interest in the platform, underlying technology, branding, and documentation
• You retain all rights to your inputs (prompts, uploads, brand assets) and to the outputs produced for your account, subject to the licence below
• You grant us a limited, worldwide licence to host, process, and display your content solely to provide and improve the services
• Feedback you voluntarily provide may be used by us without restriction to improve the platform

• Subscription fees, usage charges, and billing cadence are set out in the order form or subscription plan you select
• Fees are non-refundable except as required by law or as expressly stated in your order form
• We may revise pricing with at least 30 days' notice, effective at your next renewal
• You are responsible for applicable taxes, withholdings, and currency conversion costs
• Late or failed payments may result in suspension or termination of access

• Each party agrees to protect the other party's confidential information with the same care it uses for its own confidential information, and no less than reasonable care
• Confidential information may only be used to perform obligations and exercise rights under these Terms
• Confidentiality obligations survive termination for three (3) years, and indefinitely for trade secrets

• Processing of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement
• We implement technical and organisational measures consistent with SOC 2, ISO 27001, and Dubai AI Seal guidance
• You are the data controller for personal data you submit to the platform; we act as a data processor on your behalf
• You are responsible for obtaining all required consents from the individuals whose data is processed through the platform

• We warrant that the services will be provided with reasonable skill and care and substantially in accordance with our documentation
• The platform is otherwise provided "as is" and we disclaim all implied warranties to the maximum extent permitted by law, including fitness for a particular purpose and non-infringement
• We do not warrant that AI outputs will be accurate, reliable, or fit for any specific purpose
• We do not warrant that the services will be uninterrupted or error free, though we target 99.9% uptime

• To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data
• Our aggregate liability under these Terms is capped at the fees paid by you for the services in the twelve (12) months preceding the event giving rise to the claim
• These limitations do not apply to breaches of confidentiality, indemnities, or liabilities that cannot be excluded by law

• You will indemnify Veehive.ai against third-party claims arising from your content, your use of the platform in violation of these Terms, or your breach of applicable law
• We will indemnify you against third-party claims that the platform, as provided and used in accordance with these Terms, infringes their intellectual property rights, subject to the liability cap above

• You may terminate at the end of your current subscription term by providing notice as set out in your order form
• We may suspend or terminate access immediately if you materially breach these Terms, fail to pay, or use the platform in a way that poses a risk to us, other customers, or the public
• On termination, we will provide a reasonable period (typically 30 days) to export your data before secure deletion
• Provisions that by their nature should survive termination will do so, including IP, confidentiality, limitation of liability, and governing law

Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of government, natural disasters, internet or cloud provider outages, cyber-attacks, or labour disputes. The affected party will use reasonable efforts to resume performance.

• These Terms are governed by the laws of the United Arab Emirates, as applicable to the Dubai International Financial Centre (DIFC) where relevant
• The parties will first attempt to resolve any dispute through good-faith negotiation
• Unresolved disputes will be submitted to the exclusive jurisdiction of the DIFC Courts, unless a different forum is specified in your order form

• We may update these Terms from time to time to reflect product, legal, or regulatory changes
• Material changes will be communicated by email or in-product notice at least 30 days before they take effect
• Continued use of the platform after the effective date constitutes acceptance of the updated Terms
